Computer Associates Names Gary J. Fernandes to Board

Computer Associates International Inc, a leading provider of managing on- demand computing solutions, has announced that former EDS Vice Chairman Gary J. Fernandes has been elected to its Board of Directors, effective May 16, 2003. The announcement was made by CA Chairman and Chief Executive Officer Sanjay Kumar.

Fernandes, 59, retired from EDS Corporation in 1998 after nearly 30 years with the company and has extensive experience in technology and technology services. Besides serving the company as vice chairman, he also was a member of the EDS Board of Directors from 1984 to 1999. He is credited with greatly expanding EDS' business and extending it into its most important U.S. and international markets.

"Gary Fernandes brings a wealth of knowledge to CA's Board of Directors," Kumar said. "Not only does Gary have extensive experience in software and services, but he also has considerable experience in corporate governance through his 15 years as a member of the EDS Board of Directors. The ability of CA to attract a board member of Gary Fernandes' caliber speaks strongly to the progress we've made in becoming the 'gold standard' for corporate governance."

CA's ten-person board includes eight outside directors and two inside directors.

"CA is a company on the move," Fernandes said. "Over the past few years, the company has taken forward looking steps in implementing an industry-leading business model, introducing some of the most innovative products in the software industry and putting in place a structure that puts customers at the center of everything it does. I am looking forward to being a part of that type of environment."

After leaving EDS in 1998, Fernandes served as the chairman and chief executive officer of Groceryworks.com, an online grocery service now part of Safeway, and co-founded Convergent Partners, a venture capital fund focusing on buyouts of technology-related companies.

Fernandes also serves as a member of the Board of Directors of 7-Eleven Inc, webMethods Inc, Anacomp Inc and BancTec Inc. He has also been on the boards of PageNet, Unigraphics Solutions and A.T. Kearney.
